These Terms of Service (“Terms”) govern your access to and use of the PodGrunt service and website (collectively, the “Service”) operated by PodGrunt LLC. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Description of Service
PodGrunt is a software platform that helps podcast creators upload episodes, automate transcription and publishing workflows, generate titles and descriptions, and distribute podcast content across supported channels. PodGrunt may integrate with third-party hosting, publishing, AI, storage, and payment services.
2. Account Registration
You must create an account to use the Service. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. Your Content
You retain ownership of the content you upload, create, or provide through the Service, including your audio and video files, transcripts, titles, descriptions, and related materials (“User Content”). You grant PodGrunt a limited license to process, store, transcribe, transform, and publish your User Content as necessary to provide the Service.
You represent and warrant that you have all rights necessary to upload and use the User Content and that you will not upload content that infringes the rights of others, violates the law, or contains harmful or unlawful material.
4. AI Features
PodGrunt may use artificial intelligence or machine learning tools to generate titles, descriptions, summaries, show notes, blog content, and related media. AI-generated outputs are provided as a convenience and may require review before use. You are responsible for reviewing generated content for accuracy, tone, compliance, and suitability before publishing or distributing it.
AI outputs may be incomplete, inaccurate, or inconsistent with your brand or legal obligations. PodGrunt does not guarantee that AI-generated content will be accurate, suitable, or legally compliant.
5. Platform Connections and Publishing
When you connect your account to third-party publishing platforms, you authorize PodGrunt to send content and metadata to those services on your behalf, subject to the applicable platform terms and permissions. We are not responsible for the policies, content rules, or availability of those third-party services.
It is your responsibility to ensure that the content you publish complies with the rules and terms of each platform and any applicable laws.
6. Fees, Billing, and Subscription
Access to certain features may require payment. Fees, billing schedules, and plan limits will be disclosed before purchase or use. By subscribing, you authorize us or our payment processor, Stripe, to charge the applicable fees on a recurring basis, as applicable.
We may change pricing or plans from time to time with notice. If you do not agree to a change, you may cancel your subscription before the new pricing takes effect. We offer free plans, paid subscriptions, annual billing, and cancellations in accordance with your selected plan and account settings. Subscription fees are non-refundable except as required by applicable law or as expressly stated in the plan terms.
7. Acceptable Use
You agree not to:
- use the Service for unlawful purposes;
- upload or transmit infringing, harmful, abusive, defamatory, or deceptive content;
- interfere with or disrupt the Service or its security features;
- attempt to access accounts, data, or systems not authorized for your use;
- reverse engineer, scrape, or misuse the Service beyond normal user access;
- share your account credentials or use the Service for others without authorization.
8. Data Retention and Deletion
We may store and retain copies of your User Content and account data as needed to provide the Service, comply with applicable laws, resolve disputes, and enforce these Terms. Retention periods may vary based on your plan and settings.
You may request deletion of your data, subject to legal and operational limitations. Some information may be retained because of legal requirements, security safeguards, or legitimate business needs.
9. Ownership and IP
PodGrunt retains ownership of the Service, software, branding, and related intellectual property. Nothing in these Terms transfers ownership of the Service or its underlying technology to you. You retain ownership of your User Content.
10. Availability and Warranties
The Service is provided “as is” and “as available.” We do not guarantee uninterrupted access, error-free operation, or specific outcomes from the Service. We disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, PodGrunt shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use the Service, including loss of data, lost revenue, business interruption, or reputational harm. Our total aggregate liability related to the Service shall not exceed the fees paid to PodGrunt in the twelve months preceding the event giving rise to the claim, or, if no fees were paid, a nominal amount determined by applicable law.
12. Indemnification
You agree to indemnify and hold PodGrunt harmless from any claims, liabilities, losses, or expenses arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access to the Service at any time for conduct that violates these Terms, threatens the safety or integrity of the platform, or is otherwise harmful to PodGrunt or other users. Upon termination, your access to the Service may end, and some data may be deleted or become unavailable.
14. Changes to the Terms
We may update these Terms from time to time. If the changes are material, we will provide reasonable notice through the Service or by email. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of those changes.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict of law principles. If you are in a different jurisdiction, local consumer protections may apply where required by law.
